Course Description

In this lesson, ExecSense examines corporate tax law and its potential impact on shareholders, employees, profits, and your entire business. Take the 80 minutes to view this webcast to learn about corporate tax distributions, the complexity of equity-based compensation, and how tax law influences acquisitions, elections, and buyouts.

This lesson is led by two experts on the topic, David Sterling and Bob Adams (Partners, McGladrey LLP), and focuses on why corporate law differs from other forms of tax law, what terms you as CFO need to know, and how to wisely manage your business to ensure you’re taking full advantage of available benefits while avoiding major risks.

In this 80-minute session, you will learn:

  • How to avoid double taxation, what the key differences between S corporations and C corporations are, and how to manage the tax risks and benefits of each election
  • A comprehensive list of the most important taxation terms and concepts for corporations
  • What tax consequences mergers, acquisitions, sales, and other corporate maneuvers present to shareholders, businesses, and employees
  • A thorough breakdown of the reporting obligations CFOs face, and what processes your business should establish in order to protect your company in the case of an inquiry or audit
  • How to offer equity-based compensation, and what rules guide and define restricted stocks, options, phantom stocks, appreciation, and profits interests
